1. Acceptance of Terms

By accessing or using Pilot Wealth (the "App"), operated by Pilot Wealth ("we", "us", "our"), you agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the App.

You represent and warrant that you are at least 18 years old (or 19 in British Columbia, Nova Scotia, New Brunswick, Newfoundland and Labrador, Northwest Territories, Yukon, and Nunavut) and have the legal capacity to enter into this agreement.

Geographic Eligibility: Pilot Wealth is intended for use by residents of Canada only. The App is designed around Canadian financial products, institutions, and regulations including TFSA, RRSP, FHSA, and Canadian banking. By using the App, you confirm that you are a Canadian resident or are accessing the App for informational purposes only. We make no representation that the App is appropriate or available for use outside of Canada.

• Any financial decisions you make are solely your responsibility

3. AI-Generated Content Disclaimer

Pilot Wealth uses artificial intelligence (AI) to provide insights and recommendations. You understand and agree that:

• AI outputs may be inaccurate, incomplete, outdated, or misleading
• AI responses are probabilistic and not deterministic
• AI may "hallucinate" or generate false information
• We do not guarantee the correctness or reliability of AI-generated content
• You should independently verify all AI-generated information

You agree not to rely solely on AI outputs for any financial, legal, or professional decisions.

4. User Responsibilities

You agree that you will:

• Provide accurate and truthful information
• Maintain the confidentiality and security of your account credentials
• Not share your account with others
• Use the App in compliance with all applicable laws and regulations
• Not misuse, reverse engineer, scrape, or abuse the App
• Not attempt to bypass usage limits, security measures, or safeguards
• Not use the App for any illegal or fraudulent purpose

You are responsible for all activity conducted under your account.

5. Account Suspension and Termination

We reserve the right, at our sole discretion, to suspend or terminate your account, restrict access to features, or delete data at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent activity or abuse
• Excessive usage beyond reasonable limits
• Legal or regulatory concerns
• Non-payment of fees
• Inactivity

We are not liable for any losses resulting from account suspension or termination.

6. Payments, Subscriptions, and Refunds

All payments are processed by third-party payment processors (e.g., Stripe).

Subscription Terms:

• Subscriptions automatically renew unless cancelled
• You may cancel at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• We may change pricing at any time with at least 30 days' notice
• Subscription benefits, features, and usage limits may change

Refund Policy:

• All fees are non-refundable except as required by law
• No refunds for partial months or unused portions of subscriptions
• If you believe you are entitled to a refund under Canadian consumer protection law, contact us

We are not responsible for third-party payment processing errors or failures.

7. Data & Privacy

Your use of the App is governed by our Privacy Policy (available at https://pilotwealth.ca/static/privacy.html). By using the App, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

You acknowledge that:

• No data storage or transmission system is 100% secure
• We do not guarantee uninterrupted, error-free, or secure service
• You are responsible for backing up important data
• We may access your data to provide support or comply with legal obligations

8. Limitation of Liability

To the maximum extent permitted by applicable law (including federal and provincial/territorial laws of Canada), Pilot Wealth, its founders, directors, employees, affiliates, and partners shall not be liable for:

• Financial losses or investment losses
• Lost profits or business opportunities
• Data loss or corruption
• Business interruption
• Loss of savings or income
• Emotional distress or reputational harm
• Indirect, incidental, consequential, special, or punitive damages

Our total liability to you for all claims arising from or related to the App shall not exceed the amount you paid us in the 12 months preceding the claim, or CAD $100, whichever is lower.

Note: Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. These limitations may not apply to you if they conflict with applicable consumer protection laws in your province or territory.

9. Indemnification

You agree to indemnify, defend, and hold harmless Pilot Wealth and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use or misuse of the App
• Your violation of these Terms
• Your financial decisions made based on information from the App
• Your violation of any law or regulation
• Your violation of the rights of any third party

10. Intellectual Property

All content, software, AI systems, algorithms, branding, designs, text, graphics, logos, and other materials in the App are the exclusive property of Pilot Wealth and are protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, reproduce, or distribute any part of the App
• Modify, create derivative works, or reverse engineer the App
• Remove or alter any copyright, trademark, or proprietary notices
• Use our branding, logos, or trademarks without written permission
• Extract or scrape data using automated tools

11. Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the federal laws of Canada and the laws of the province or territory in which you reside, without regard to conflict of law principles.

Jurisdiction: Any disputes shall be resolved in the courts of the province or territory in which you reside, and you consent to the jurisdiction of such courts.

Arbitration (Optional): You and we may agree to resolve disputes through binding arbitration as an alternative to court litigation, subject to applicable arbitration laws in your province or territory. Either party may choose arbitration by providing written notice to the other party.

12. Third-Party Services

Pilot Wealth integrates with third-party services, including but not limited to:

• Plaid (for bank account connections)
• Stripe (for payment processing)
• OpenAI / Anthropic (for AI features)
• Other service providers

You acknowledge that:

• Third-party services have their own terms of service and privacy policies
• We are not responsible for third-party service failures, outages, or data breaches
• Your use of third-party services is at your own risk

13. No Guarantee of Service

We provide the App "AS IS" and "AS AVAILABLE" without warranties of any kind.

We do not guarantee that the App will:

• Be uninterrupted, timely, secure, or error-free
• Meet your specific requirements
• Remain available or unchanged
• Be free from viruses or harmful components

We reserve the right to modify, suspend, or discontinue any feature or the entire App at any time without notice or liability.

14. Beta Features

Some features may be labeled as "beta," "experimental," or "preview." These features:

• May not function as expected
• May contain bugs or errors
• May be discontinued at any time
• Are provided without warranty
• Beta Features include: Plaid Bank Sync, AI chatbot, and Stock Tracker

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on the App.

We will notify you of material changes by email or through the App. Your continued use of the App after changes constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the App and may request account deletion.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the App, constitute the entire agreement between you and Pilot Wealth regarding your use of the App.
